Calmon Partners Executive Search has been mandated by a private investment firm to recruit a Senior Legal Counsel to support its product strategy, design, and development across Private Equity, Infrastructure, and Real Estate asset classes.

The Role
Reporting to the General Counsel, the Senior Legal Counsel will be involved in all legal, tax, and governance aspects of the business. Based in Paris, the role requires collaboration across teams and jurisdictions, with a strong emphasis on fund structuring and corporate governance.
Key Responsibilities
- Advise management on legal matters including investments, fund distribution, corporate and social law
- Draft and negotiate fund documentation (French and Luxembourg AIFs, mandates, co-investment vehicles, funds of funds)
- Draft NDAs, SLAs, financing agreements, and other legal documents
- Structure partnership and joint venture agreements with investment teams
- Oversee legal and tax structuring of investment vehicles
- Supervise governance activities, including board documentation and regulatory filings
- Liaise with external legal and tax advisors
Candidate Profile
- 7–10 years’ experience in a similar role (PE, asset management, or law firm)
- Strong knowledge of French and Luxembourg fund structuring and corporate law
- Proven experience with AIFMs, CSSF/AMF procedures, and fund governance
- Excellent drafting skills and ability to handle cross-border legal complexity
- Fluent in English and French
